Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") form a binding agreement between you ("you," "User," or "Subscriber") and AlphaGrid Trading LLC ("AlphaGrid," "we," "us," or "our") governing your access to and use of the AlphaGrid TradeAssist application, website, and related services (collectively, the "Service"). By creating an account, clicking to accept, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by the Risk Disclosures in Section 4, which you should read carefully.

If you do not agree to these Terms, you must not access or use the Service. You must accept these Terms before you are permitted to use the Service, and your acceptance is recorded as described in Section 3.

2. Eligibility

To use the Service, you represent and warrant that you:

• Are at least 18 years old and of legal age to form a binding contract;
• Have the authority to enter into these Terms;
• Are not barred from using the Service under the laws of your jurisdiction; and
• Will comply with all applicable laws, and with the terms of any third-party exchange, broker, or data provider you connect to the Service.

The Service connects to third-party exchanges and data providers that impose their own eligibility and geographic restrictions, which may change over time. You are solely responsible for ensuring that your use of any account you connect to the Service complies with that provider's terms and with the laws and regulations of your jurisdiction, and you represent that you are permitted to use those connected services in the location from which you access the Service.

3. Acceptance and Record of Agreement

Acceptance of these Terms is required before first use of the Service. When you accept, we record the fact of acceptance, the version of the Terms accepted, the account identity accepting, and the date and time of acceptance. We may update these Terms from time to time. Where changes are material, we will provide notice and may require renewed acceptance before continued use. Your continued use of the Service after an update takes effect constitutes acceptance of the updated Terms.

4. Risk Disclosures

Please read this section carefully. It describes material risks of using the Service.

4.1 The Service is a decision-support tool, not trading advice

THE SERVICE IS AN INFORMATIONAL AND DECISION-SUPPORT TOOL ONLY. IT DOES NOT PROVIDE INVESTMENT, FINANCIAL, LEGAL, OR TAX ADVICE, AND NOTHING IN THE SERVICE CONSTITUTES A RECOMMENDATION, SOLICITATION, OR OFFER TO BUY OR SELL ANY SECURITY, OPTION, CRYPTOCURRENCY, DERIVATIVE, OR OTHER FINANCIAL INSTRUMENT.

AlphaGrid is not a registered investment adviser, broker-dealer, commodity trading advisor, or futures commission merchant, and does not act in any fiduciary capacity toward you. The scores, signals, indicators, rankings, alerts, and other outputs of the Service ("Outputs") are general in nature, are not tailored to your financial situation, risk tolerance, or objectives, and must not be relied upon as the basis for any trading or investment decision. You are solely responsible for your own trading and investment decisions.

4.2 Scores and signals are experimental and not statistically validated

You specifically acknowledge and agree that the Outputs, including numerical "scores" and trade "signals," are experimental, are provided on an as-is basis, and are not validated, calibrated, or proven to predict market outcomes. The scoring methodology is a heuristic ranking aid whose weights are reasoned rather than statistically fitted; scores may be discontinuous, may change substantially on small changes in market inputs, and may be a snapshot that lags live market conditions. Signals identified as "unvalidated" or "experimental" within the Service have not met any internal performance threshold and may have no predictive value whatsoever. Past performance and hypothetical or historical results are not indicative of future results.

4.3 Trading risk

TRADING IN OPTIONS, CRYPTOCURRENCY PERPETUAL FUTURES, AND OTHER LEVERAGED OR DERIVATIVE INSTRUMENTS INVOLVES A HIGH DEGREE OF RISK AND IS NOT SUITABLE FOR ALL INVESTORS. YOU MAY LOSE SOME OR ALL OF YOUR INVESTED CAPITAL, AND WITH LEVERAGED PRODUCTS YOU MAY LOSE MORE THAN YOUR INITIAL INVESTMENT. YOU SHOULD NOT TRADE WITH FUNDS YOU CANNOT AFFORD TO LOSE.

You acknowledge that market data may be delayed, incomplete, or inaccurate; that the Service depends on third-party data providers and exchanges that may fail, disconnect, or return erroneous data; and that you are responsible for independently verifying any information before acting on it.

4.4 No guarantee of availability or accuracy

The Service is provided on an "as available" basis. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free, or that Outputs, data, or notifications will be accurate, complete, or delivered. Notifications (including Telegram and in-app alerts) may be delayed, duplicated, or not delivered, and must not be relied upon as a sole or timely basis for any decision.

5. Accounts, Exchange Connections, and API Keys

5.1 Your account

You access the Service through an authenticated account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to notify us promptly of any unauthorized use.

5.2 Exchange and data connections; API keys

The Service allows you to connect third-party accounts (including a cryptocurrency exchange) by providing Application Programming Interface ("API") keys. You are responsible for generating and providing those keys and for complying with the terms of the applicable third party. You agree to provide only read-only API keys where the Service requires them, and the Service is designed to validate and require that connected exchange keys do not carry withdrawal or, where applicable, trading permissions. The Service does not place, modify, or cancel orders on your behalf, and does not initiate withdrawals or transfers of your funds.

We protect connected API keys using industry-standard encryption and key-management practices. Nevertheless, you acknowledge that no method of transmission or storage is perfectly secure, and you provide API keys at your own risk. If we later introduce features that require keys with broader permissions (for example, trade execution), those features will require your separate, informed action to provide a differently-scoped key.

6. Data and Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to the collection, processing, and storage of your data as described there and here.

You acknowledge and agree that we may collect, store, and analyze data generated through your use of the Service — including account, usage, configuration, and trading-signal interaction data — and that we may use such data, including in aggregated or de-identified form, to operate, evaluate, improve, and develop the Service and our related products and analytics.

7. License and Acceptable Use

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal use. You may not:

• Resell, redistribute, sublicense, or provide the Service or its Outputs or data to any third party;
• Scrape, copy, or extract data or Outputs except as expressly permitted;
• Reverse engineer, decompile, or attempt to derive the source code or underlying methodology of the Service;
• Use the Service to violate any law or the terms of any connected exchange or data provider; or
• Interfere with or disrupt the integrity or performance of the Service.

Market data made available through the Service is licensed from third-party providers and is subject to their restrictions. You receive no ownership of, and no right to redistribute, that market data, and you may use it only within the Service for your own personal use.

8. Subscription, Fees, and Cancellation

The Service is offered on a subscription basis. Current fees and plan tiers are those presented at the point of purchase; billing is available on a monthly or annual cycle, and annual plans may be offered at a discount. Payments are processed by our third-party payment processor, Stripe, and are subject to Stripe's terms; by subscribing, you authorize us and Stripe to charge your selected payment method on a recurring basis until you cancel.

Auto-renewal. Subscriptions renew automatically at the end of each billing cycle at the then-current price for your plan until you cancel. The renewal term and price are disclosed to you at purchase.

Cancellation. You may cancel at any time through your account settings or by contacting us at alphagridtradingllc@gmail.com. Cancellation stops future renewals; your access continues through the end of the billing period you have already paid for.

Refunds. Except where required by applicable law, all fees are non-refundable, and we do not provide refunds or credits for partial billing periods, downgrades, or unused time.

Price changes. We may change our fees from time to time. Changes apply to the next billing cycle after we provide notice, and your continued use of the Service after a change takes effect constitutes acceptance of the new fees.

9. Disclaimer of Warranties

THE SERVICE, INCLUDING ALL OUTPUTS, DATA, AND NOTIFICATIONS, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY OUTPUT WILL BE ACCURATE OR RELIABLE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ALPHAGRID, ITS MEMBERS, OFFICERS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, TRADING LOSSES, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

YOU EXPRESSLY ACKNOWLEDGE THAT ALPHAGRID IS NOT LIABLE FOR ANY TRADING OR INVESTMENT LOSSES YOU INCUR, HOWEVER ARISING, INCLUDING LOSSES CONNECTED TO RELIANCE ON ANY OUTPUT, SCORE, SIGNAL, OR NOTIFICATION. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless AlphaGrid and its members, officers, and employees from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your trading activity, your violation of these Terms, or your violation of any law or third-party right.

12. Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including for violation of these Terms. You may cancel at any time as described in Section 8. Provisions that by their nature should survive termination (including Sections 4, 6, 9, 10, 11, and 13) will survive.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules.

Informal resolution. Before starting an arbitration, you agree to first contact us at alphagridtradingllc@gmail.com and attempt in good faith to resolve the dispute informally for at least thirty (30) days.

Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, before a single arbitrator. The arbitration will be seated in the State of Florida and may be conducted by videoconference or on the documents where the applicable rules permit. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

Small claims. Either party may instead bring an individual claim in a small-claims court for any dispute within that court's jurisdiction.

14. General

These Terms, together with the Privacy Policy and any Risk Disclosures presented in the Service, constitute the entire agreement between you and AlphaGrid regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

15. Acknowledgement

BY ACCEPTING THESE TERMS, YOU CONFIRM THAT YOU HAVE READ AND UNDERSTOOD THE RISK DISCLOSURES IN SECTION 4, THAT YOU UNDERSTAND THE SERVICE IS AN EXPERIMENTAL DECISION-SUPPORT TOOL AND NOT INVESTMENT ADVICE, AND THAT YOU ACCEPT SOLE RESPONSIBILITY FOR YOUR TRADING AND INVESTMENT DECISIONS.
